In order to become a Class-B shareholder of record, which enables an investor to participate in STACKCAP investment opportunities, an individual must purchase at least one share of STACKCAP Class-A common stock in the open market, and must then apply for admission into STACKCAP as a Class-B shareholder. Ownership of STACKCAP Class-B shares is a privilege, which is subject to renewal, revocation, or termination for a shareholder’s failure to conduct him or herself in a manner consistent with STACKCAP’s Code of Conduct, the Class-B Shareholder Agreement, and the Class-B Shareholder Investment Commitment


STACKCAP has authorized only 100,000 Class-B shares. STACKCAP will not increase the number of Class-B shares authorized without the express approval of existing Class-B shareholders.
